[FLASH] Oracle files to raise $20B in stock and notes for AI buildout; shares fall 8.8%
Oracle filed to sell $10B of common stock and $10B of senior notes, the full amount it had set as its capital-markets cap for the fiscal 2027–2030 cycle at last week's investor day. CNBC reported the shares fell 8.8% even though the raise had been previewed, and noted a five-year CDS spread around 292 and a BBB- rating one notch above high yield. Fortune placed the raise in a wider AI capital crunch that includes roughly $800B of hyperscaler capex this year, Microsoft's $25B debt raise, and a Gartner estimate of a ~$4.9T AI revenue gap. Execution against the cap and the path to positive free cash flow, which Oracle targets for 2H 2028, are the open questions.
